Version: October 2026
1 Scope
(1) These General Terms and Conditions apply to all contracts between Gavaevodata Limited, Suite 1B.02 Fourth Floor, Leon House, 1 Secretary's Lane, Gibraltar GX11 1AA, company number 122446 ("we") and its customers for the packages and projects we describe on our website and for the related hardware.
(2) A consumer is an individual who acts for purposes that are wholly or mainly outside their trade, business, craft or profession. A business customer is anyone else who contracts with us in the course of their trade, business, craft or profession.
(3) Towards business customers, the customer's own terms do not apply unless we have expressly agreed to them.
2 Making a contract
(1) The presentation on our website is not an offer that can be accepted. Ordering through the website is not possible.
(2) On request we prepare an offer in writing. The contract is made when the customer accepts the offer in writing, for example by email, within the period stated in it.
(3) Services, scope and prices follow from the offer and from the description of the respective package or project on our website as it stands when the offer is made.
(4) The customer receives the contract documents in a form that can be stored: the offer, these terms and, for consumers, the cancellation instructions and the cancellation form. The contract language is English.
(5) The purchase of the hardware and the services are separate contracts, even if they appear in one offer.
3 Prices and payment
(1) Prices, payment terms and third-party costs follow from the offer. We give prices on request. Prices are in the currency named in the offer and, for consumers, include all taxes that we charge.
(2) We charge nothing in addition to the agreed price for our main obligation unless the customer has expressly agreed to it before the contract is made.
(3) Costs incurred with third parties are not included in the price unless the offer says otherwise. The customer bears them.
(4) We do not charge consumers fees for a means of payment that exceed the cost to us of that means.
4 Hardware
(1) Delivery method, time and place follow from the offer. Unless a different time is agreed, we deliver without undue delay and in any event within 30 days after the contract is made. Delivery outside Gibraltar takes place only by express agreement.
(2) Until full payment the goods remain our property.
(3) For consumers, the goods remain at our risk until the consumer or a person they name takes physical possession of them. For business customers, risk passes on handover to the carrier.
(4) We are under a legal duty to supply goods that are in conformity with the contract. The statutory rights of consumers for goods that are not in conformity remain unaffected, as do our statutory duties to provide updates for the software on the hardware.
5 Set-up and ongoing support
(1) Scope and content of the set-up and the ongoing support follow from the offer and the description of the package.
(2) Unless the offer provides otherwise, the contract for ongoing support runs for an indefinite period, and either party may end it by giving one month's notice in writing to the end of a month. The right to end the contract for a serious breach remains unaffected.
(3) The customer provides the prerequisites and information needed for the services in good time, in particular power, internet connection and access.
(4) Where we process personal data on behalf of the customer, we conclude a data processing agreement with the customer.
(5) The customer remains responsible for the content of its data and the lawfulness of its use.
6 Projects
(1) Scope, fixed price and dates of a project follow from the offer.
(2) After completion we inform the customer. The customer checks the result and accepts it if it is essentially in conformity with the contract. We remedy defects in accordance with the law.
(3) On handover the customer receives the access data, documentation and an introduction. The customer receives the source code only if this is agreed in the offer.
(4) After full payment the customer receives the rights of use to the work results that are needed for the agreed purpose. Components under open-source licences are subject to the terms of those licences.
(5) Operation, maintenance and updates after handover are not part of the project. On request we offer them as a separate service that can be booked as an option.
7 Consumers: right to cancel
(1) Consumers have a statutory right to cancel contracts made at a distance. The cancellation instructions and the cancellation form follow these terms and are sent with the offer.
(2) We do not begin the services before the end of the cancellation period unless the consumer expressly asks us to in writing, for example by email.
8 Liability
(1) Nothing in these terms excludes or limits our liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be excluded or limited.
(2) Towards business customers, and subject to paragraph 1, we are liable for loss that was reasonably foreseeable when the contract was made and is typical for this kind of contract. We are not liable towards business customers for indirect or consequential loss or for loss of profit.
(3) The statutory rights of consumers are not affected by this clause.
9 Data protection
Information on the processing of personal data is in our Privacy Policy.
10 Complaints
If you have a complaint, please write to gi@gavaevodata.com. We handle complaints promptly. We are not bound by any out-of-court complaint and redress scheme.
11 General
(1) These terms and the contracts under them are governed by the law of Gibraltar. For consumers, mandatory consumer protection provisions of the country in which they live remain unaffected.
(2) The courts of Gibraltar have exclusive jurisdiction if the customer is a business customer.
(3) If a provision of these terms is invalid, the others remain valid. The statutory provisions apply instead of the invalid provision.
Cancellation instructions for consumers: purchase of the hardware
Right to cancel
You have the right to cancel this contract within 14 days without giving any reason. The cancellation period ends 14 days after the day on which you, or a third party you have named who is not the carrier, take physical possession of the goods.
To cancel, you must tell us (Gavaevodata Limited, Suite 1B.02 Fourth Floor, Leon House, 1 Secretary's Lane, Gibraltar GX11 1AA, email gi@gavaevodata.com) of your decision by a clear statement, for example a letter or an email. You may use the attached cancellation form, but you do not have to. It is enough to send your notice before the 14 days have ended.
Effects of cancellation
If you cancel, we will refund all payments we received from you, including the cost of standard delivery. We do not refund the extra cost if you chose a more expensive kind of delivery than the cheapest standard delivery we offer. We refund without undue delay and no later than 14 days after we have received the goods back, or after you have given us evidence that you sent them back, whichever is earlier. We use the same means of payment you used for the original payment unless you expressly agree otherwise, and we charge no fee for the refund. We may withhold the refund until we have received the goods back or you have given evidence that you sent them back.
You must send the goods back to us, or hand them over to us, without undue delay and in any event within 14 days after the day on which you tell us that you cancel. You are in time if you send the goods back before the 14 days have ended. You bear the direct cost of returning the goods.
You are only liable for any loss in value of the goods that results from handling them in a way that goes beyond what is necessary to establish their nature, characteristics and functioning.
